Skyl Terms of Service
These Terms of Service ("Terms") govern your access to and use of the Skyl mobile application (the "App") and any related services (together, the "Service") operated by Vestgaard Construction Ltd. ("Skyl," "we," "us," or "our"). The Service is a social and professional network for construction-trade professionals.
By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.
1. Eligibility
You must be at least 13 years of age (or the minimum age in your jurisdiction) to create an account and use the Service. By creating an account, you represent and warrant that you meet this age requirement and that you are legally able to enter into a binding contract.
If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.
2. Your Account
2.1 Account creation
You must provide accurate, current, and complete information during registration and keep it updated. You are responsible for maintaining the security of your account, password, and any activity that occurs under your account.
2.2 Account security
You agree to immediately notify Skyl at privacy@skylstudios.com of any unauthorized use of your account or any other security breach. Skyl is not liable for any loss or damage arising from your failure to maintain the security of your account.
2.3 One person, one account
You may create and maintain multiple accounts (for example, a personal account and a company account), but you may not create accounts to impersonate another person or entity, evade enforcement, or manipulate the Service.
2.4 Account deletion
You can delete your account at any time through the App's Settings screen or by emailing privacy@skylstudios.com. Deletion is permanent and removes your profile, posts, comments, messages, and personal data, subject to legal retention requirements described in our Privacy Policy.
3. User-Generated Content
3.1 What you can post
You may create and share content through the Service, including posts, comments, direct messages, crew chat messages, job listings, job applications, portfolio items, club posts, and feedback ("User Content").
3.2 License to Skyl
By posting User Content on the Service, you grant Skyl a worldwide, non-exclusive, royalty-free, sublicensable, transferable license to host, store, use, display, reproduce, modify, adapt, publish, translate, distribute, and otherwise make available your User Content through the Service, including for the purposes of operating, promoting, and improving the Service. This license survives even if you stop using the Service, but it ends when your User Content is deleted from the Service (except for content that has been shared or republished by other users).
You retain all ownership rights in your User Content.
3.3 Content standards
You agree not to post User Content that:
- Is illegal, harmful, threatening, abusive, harassing, defamatory, or hateful.
- Infringes the intellectual property, privacy, or other rights of any person.
- Contains sexually explicit material or sexual exploitation of minors.
- Promotes violence, terrorism, or self-harm.
- Is false, misleading, or fraudulent.
- Impersonates another person or entity.
- Contains malware, viruses, or harmful code.
- Constitutes unauthorized advertising or spam.
- Violates any applicable law or Skyl's Community Guidelines.
3.4 Responsibility for your content
You are solely responsible for your User Content and the consequences of posting it. Skyl does not endorse and is not responsible for User Content posted by users.
3.5 Right to post
You represent and warrant that you have all rights necessary to post your User Content and that doing so does not violate any law, contract, or third-party right.
4. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any law.
- Harass, bully, stalk, or intimidate any person.
- Collect or scrape personal data from the Service.
- Use bots, scripts, or automated means to access the Service, except as expressly permitted by Skyl.
- Attempt to disrupt, overload, or reverse-engineer the Service.
- Circumvent any security or authentication measures.
- Use the Service to send unsolicited communications.
- Sell, rent, or otherwise transfer your account to a third party.
- Encourage anyone else to do any of the above.
5. Moderation and Enforcement
5.1 Automated and human moderation
Skyl uses automated tools (including OpenAI for text and Sightengine for images and videos) and human reviewers to scan User Content for policy violations. Content may be held, removed, or quarantined before or after it is published.
5.2 Reporting
You can report content or users that violate these Terms or our Community Guidelines using the in-app report flow. Skyl reviews reports and takes action as appropriate.
5.3 Enforcement actions
Skyl may, at its discretion and without notice, take any of the following actions for violations:
- Remove or hide content.
- Restrict or disable features (posting, commenting, messaging).
- Issue warnings.
- Temporarily or permanently suspend accounts.
- Permanently ban accounts and devices.
- Report content to law enforcement or to organizations such as the National Center for Missing & Exploited Children (NCMEC) where required by law.
5.4 Appeals
If you believe enforcement action was taken in error, you can appeal by emailing team@skylstudios.com. Skyl will review appeals and respond within a reasonable time.
6. Jobs and Hiring
6.1 Job listings
Users can post job listings and apply for jobs through the Service. Skyl is not a party to any employment relationship between users and is not responsible for the accuracy of job listings, the conduct of job posters or applicants, or the terms of any employment arrangement.
6.2 No fees from Skyl
Skyl does not charge fees for posting or applying to jobs. Any compensation, benefits, or arrangements are solely between the parties involved.
6.3 Compliance with labor laws
Users posting jobs or hiring through the Service are responsible for complying with all applicable labor, employment, tax, and immigration laws.
7. Coins, Badges, and Games
7.1 Virtual currency
Skyl offers a virtual currency called "Skyls" or "coins." Coins have no real-world monetary value, cannot be exchanged for cash, and are non-refundable except where required by law. Skyl may modify, discontinue, or reset coin balances at any time.
7.2 Games
Some in-app games (such as Crash Duels) use coins. Outcomes of these games are determined by Skyl's algorithms and are not guaranteed. Skyl is not responsible for any loss of coins through gameplay.
7.3 Badges
Badges are cosmetic profile indicators. Skyl may issue, revoke, or modify badges at any time.
8. Advertising
The Service may display ads served by third-party advertising networks, including Google AdMob. Ad content is not endorsed by Skyl. Advertisements may use the advertising identifier on your device only if you grant permission through Apple's App Tracking Transparency prompt or Android's equivalent. See our Privacy Policy for details on how to opt out.
9. Third-Party Content and Links
The Service may display or link to content and services provided by third parties, including news articles, weather data, job postings, and external websites. Skyl is not responsible for the accuracy, availability, or practices of third-party content and services. Your interactions with third-party content are solely between you and the third party.
10. Intellectual Property
10.1 Skyl's rights
The Service, including its design, features, and underlying software, is owned by Vestgaard Construction Ltd. and is protected by copyright, trademark, and other laws. These Terms do not grant you any right to use the Skyl name, logo, or trademarks except as necessary to use the Service.
10.2 No reverse engineering
You may not copy, modify, distribute, sell, lease, or reverse-engineer the Service or any part of it, except as expressly permitted by applicable law.
11. Disclaimers
11.1 As-is service
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied. To the maximum extent permitted by law, Skyl disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
11.2 No guarantee of availability
Skyl does not guarantee that the Service will be uninterrupted, secure, or error-free. We may modify, suspend, or discontinue the Service at any time without notice.
11.3 No guarantee of results
Skyl does not guarantee that you will find jobs, hires, followers, or any specific outcome from using the Service.
12. Limitation of Liability
To the maximum extent permitted by law, in no event will Skyl be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, data, or goodwill, arising out of or related to your use of the Service, whether based on warranty, contract, tort (including negligence), or any other legal theory, even if Skyl has been advised of the possibility of such damages.
To the maximum extent permitted by law, Skyl's total liability for any claim arising out of or related to the Service is limited to the greater of (a) the amount you have paid Skyl in the past 12 months, or (b) CAD $100.
13. Indemnification
You agree to indemnify and hold Skyl and its officers, directors, employees, and agents harmless from any claims, damages, losses, and expenses (including reasonable legal fees) arising out of your User Content, your use of the Service, your violation of these Terms, or your violation of any law or third-party right.
14. Termination
You can stop using the Service at any time. Skyl may suspend or terminate your access to the Service at any time, with or without cause or notice. On termination, all licenses granted by you to Skyl will end, except that Skyl may retain your User Content as needed to comply with legal obligations, complete investigations, or enforce these Terms.
15. Changes to These Terms
Skyl may update these Terms from time to time. We will notify you of material changes by posting the updated Terms in the App or on our website and, where appropriate, sending a notification. The "Effective date" at the top indicates when the Terms were last updated. Your continued use of the Service after a change constitutes acceptance of the updated Terms.
16. Governing Law and Disputes
These Terms are governed by the laws of the Province of Alberta, Canada, and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
Any dispute arising out of or related to these Terms or the Service will be resolved in the courts of the Province of Alberta, and you consent to the exclusive jurisdiction of those courts.
17. General Provisions
- Severability. If any provision of these Terms is found unenforceable, the remaining provisions will continue in full force.
- Waiver. Skyl's failure to enforce any right or provision is not a waiver of that right or provision.
- Entire agreement. These Terms, together with the Privacy Policy and Community Guidelines, are the entire agreement between you and Skyl regarding the Service.
- Assignment. You may not assign these Terms without Skyl's consent. Skyl may assign these Terms without restriction.
